As Legal Counsel - Head of Contract Management you have a great opportunity to (re-) define CLEVR's contract management processes that will support sales and procurement. The role will actively engage in the legal, financial and business review of (proposed) sales contracts and purchasing agreements. You serve as the key point of contact for both internal employees and external parties and participate in discussions with customers and suppliers to plan, prepair or update and execute legal agreements. You also provide recommendations and negotiate directly with the customer or supplier and manage the processing and archiving of agreements. In this role it is important to streamline communication and monitoring processes for the best result.

Your tasks

• Review and discuss business and legal contractual terms, both internally as well as with customers and suppliers;
• Assist in the handling of corporate legal matters, as appropriate;
• Engage with external legal counsel as appropriate;
• Define and implement internal processes and procedures for the proper review, signing and processing of sales and purchasing agreements;
• Handle the review, processing and archiving of agreements;
• Assist in the creation of template agreements;
• Maintain contract register(s).

Department

As Legal Counsel - Head of Contract Management you will closely work with procurement and sales. The role is located in Amersfoort. You report to the CFO.

Requirements

CLEVR is looking for an enthusiastic and experienced Legal Counsel - Head of Contract Management.

Your Profile:

• Legal degree;
• Prior experience working at a legal firm (3+ years), handling commercial agreements and corporate legal matters for a variety of multi-national clients, including in software and services technology, combined with several years (5+ years) of experience in a similar role, preferably in software and services technology at international scale-up companies;
• Experience in handling both sales and purchasing contracts, and setting up and maintaining related internal processes;
• Strong knowledge and working experience related to Intellectual Property rights and copyrights for software and technology services;
• Knowledgeable about GDPR and comparable US privacy laws;
• Strong business acumen, being able to combine commercial and legal aspects in the position;
• Proven ability to discuss and negotiate contractual terms with customers and suppliers, in an amicable but persistent manner;
• Process oriented, being able to define, execute and maintain internal processes, guidelines, approval and signoff matrices etc., and being able to educate internal staff on these;
• Experience with implementing systems to facilitate the review, approval / signing and archiving of agreements;
• Fluent in Dutch and English.
